Welcome to RS Graphics. These Terms of Service ("Terms") govern your access to and use of our website, design tools, products, and services (collectively, the "Services") operated by RS Graphics ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Eligibility

You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

To access certain features of our Services, you may need to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activity under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Products & Orders

3.1 Product Descriptions

We strive to display product colors, images, and descriptions as accurately as possible. However, we cannot guarantee that your monitor or device will display colors exactly as they appear in person. Product specifications, availability, and pricing are subject to change without notice.

3.2 Custom & Personalized Products

Many of our products are custom-made to your specifications, including custom dimensions and personalized designs. By placing an order for a custom product, you acknowledge that:

• Custom and personalized products are made to order and may not be eligible for returns or refunds except in cases of defects or errors on our part.
• You are responsible for reviewing your design, dimensions, and specifications before submitting your order.
• Pricing for custom-sized products is calculated based on the dimensions you provide (e.g., price per square foot).
• Minor variations in color, material, and finish are inherent in custom products and do not constitute defects.

3.3 Order Acceptance

Your placement of an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion. An order is not confirmed until we send you an order confirmation. We may cancel orders due to pricing errors, product unavailability, or suspected fraudulent activity.

3.4 Pricing & Payment

All prices are displayed in the currency indicated on our website and are subject to applicable taxes. Payment is processed securely through our third-party payment processor (Stripe). By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the total amount of your order.

4. Design Tools & User Content

4.1 Design Tool Usage

We provide online design tools to help you create and customize products. These tools are provided "as is" and we do not guarantee uninterrupted availability. Designs saved to your account are stored on our servers, but we recommend keeping local copies of important files.

4.2 Your Content

You retain ownership of all content (images, designs, text, logos) that you upload or create using our Services ("User Content"). By uploading or submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and process your content solely for the purpose of fulfilling your orders and providing our Services to you.

4.3 Content Restrictions

You agree not to upload or submit content that:

• Infringes on any third party's intellectual property rights, trademarks, or copyrights.
• Is defamatory, obscene, threatening, harassing, or otherwise objectionable.
• Violates any applicable law or regulation.
• Contains malware, viruses, or other harmful code.
• Impersonates any person or entity.

We reserve the right to refuse to produce any product that, in our sole judgment, contains inappropriate, infringing, or unlawful content.

4.4 File Uploads

Uploaded files are subject to size and format restrictions as displayed on our website. We accept common image formats (JPEG, PNG, GIF) and document formats (PDF). Files that exceed size limits or are in unsupported formats may be rejected.

5. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, software, design templates, and the overall look and feel of the Services, is the property of RS Graphics or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable law permits it or you have our written consent.

6. Returns, Refunds & Cancellations

6.1 Standard Products

If you receive a product that is defective, damaged during shipping, or materially different from what was described, please contact us within 14 days of receiving your order. We will work with you to provide a replacement or refund.

6.2 Custom & Personalized Products

Due to the custom nature of personalized products, they are generally non-refundable and non-returnable unless there is a manufacturing defect or an error on our part. We encourage you to carefully review all specifications before placing your order.

6.3 Cancellations

You may request to cancel an order before it enters production. Once production has begun, cancellation may not be possible, particularly for custom products. Please contact us as soon as possible if you need to cancel an order.

7. Quotes

Quotes provided through our quote request system are estimates and are subject to change based on final specifications, material availability, and other factors. A quote does not constitute a binding agreement until an order is placed and confirmed.

8. Prohibited Uses

You agree not to use our Services to:

• Violate any applicable law, regulation, or these Terms.
• Engage in fraudulent activity or provide false information.
• Interfere with or disrupt the operation of our Services.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated tools (bots, scrapers, crawlers) to access our Services without our written permission.
• Transmit spam, chain letters, or unsolicited communications.
• Reproduce, duplicate, or resell any part of our Services without express permission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, RS Graphics and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Services.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid to us for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Indemnification

You agree to indemnify, defend, and hold harmless RS Graphics and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services.
• Your User Content, including any intellectual property claims by third parties.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the province or state in which RS Graphics is headquartered, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved in the courts of that jurisdiction.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute through good-faith negotiations.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
